These terms and conditions govern services provided by M.ZEILER e.U. in building automation, energy technology and related planning/integration work offered or agreed via this website. They are adapted from WKO model terms for IT/technical services. Reference: WKO — terms for IT service providers.

For the SaaS product SpotpriceAPI, the separate terms at spotpriceapi.com/agb apply.

§ 1 Scope and contracting party

(1) Contractor: M.ZEILER e.U., owner DI(FH) Meinrad Zeiler, Hitzendorf 191/3, 8151 Hitzendorf, Austria, VAT ATU58018503, company register FN 672764i.

(2) Subject matter: planning, consulting, programming, installation, commissioning and support for Loxone building automation, energy systems (PV, storage, EMS) and related software/API work.

(3) Customer terms apply only if expressly agreed in writing.

(4) Mandatory consumer protection applies to consumers under Austrian law where applicable.

§ 2 Services

(1) Scope is defined by offer, specification, project plan or individual contract.

(2) Third-party deliveries (e.g. electrical installation, hardware suppliers) are handled on the customer's account unless explicitly assumed by us.

(3) We owe professional execution to current standards, not a guaranteed economic outcome.

§ 3 Offers and contract formation

(1) Website content and non-binding estimates are non-binding unless marked otherwise.

(2) Contracts are formed by written confirmation, signed project agreement or commencement of work with the customer's knowledge.

(3) Contact enquiries are processed per our privacy policy.

§ 4 Prices and payment

(1) Prices in EUR; VAT as stated for consumers or businesses.

(2) Unless agreed otherwise: deposits, interim invoices and final payment by milestone.

(3) Late payment: statutory interest and suspension of work after reminder.

§ 5 Customer cooperation

The customer provides timely site access, power, network, plans, approvals and contacts. Delays caused by missing cooperation extend deadlines and may cause additional cost.

§ 6 Warranty

Statutory warranty under Austrian law applies. Defects must be reported promptly in writing. No warranty for misuse, third-party modifications or unauthorised changes.

§ 7 Liability

Unlimited liability for intent, gross negligence and injury to life, body or health. Otherwise limited liability for breach of essential obligations up to foreseeable typical damage. No liability for lost profit or indirect damage except where mandatory law applies.

§ 8 Privacy and cookies

See our privacy policy. Analytics (Umami, GA4 via GTM) and optional marketing tags (e.g. Google Ads) load only after consent (Google Consent Mode v2).

§ 9 SpotpriceAPI

API registration and subscriptions are governed solely by spotpriceapi.com terms.

§ 10 Force majeure

Events beyond reasonable control suspend performance for the duration of the disruption.

§ 11 Final provisions

Austrian law applies. Place of jurisdiction for businesses: competent court in Graz. Severability clause applies.
